Business Terms & Conditions (B2B)

1. Definitions & Basis of Contract

• Buyer: the business customer purchasing goods from Direct Cosmetics Ltd trading as AM Cosmetics (Seller).
• These Terms govern sales of goods to the exclusion of any terms the Buyer seeks to impose. Variations require written agreement by an authorised representative of the Seller.
• Any advice not confirmed in writing is followed at the Buyer's own risk. Obvious errors or omissions in documentation may be corrected without liability.

2. Registration & Accounts

• Only authorised businesses may register or order. You confirm you have authority to bind your business.
• We may charge an activation fee, creditable against your first order placed within 3 months. Unused activation credits expire.
• Accounts inactive for 9 months may be deactivated. We reserve the right to deactivate any account at any time without reason where misuse is suspected.

3. Orders, MOQs & Specifications

• All orders are subject to acceptance and availability. No sale or return basis applies.
• Minimum Order Values: UK: £250 + VAT + P&P. Non‑UK: £250 + P&P (+ VAT where applicable).
• The Buyer is responsible for order accuracy and timely information provision for fulfilment.
• Delivery variance up to ±20% may apply if expressly agreed; price adjusted proportionally.
• Cancellations post‑acceptance require written consent and indemnity for related costs.

4. Prices, VAT, Taxes & Duties

• All prices are GBP and exclude VAT unless stated. Prices may change without notice prior to order acceptance.
• UK sales: VAT at prevailing rate. EU: VAT handling based on valid VAT ID and applicable rules. Ex‑UK exports: zero‑rated only with proper export proof.
• Non‑UK shipments: Buyer responsible for all import taxes, duties, and customs clearance.
• Where Buyer arranges export, VAT may be charged and later refunded upon valid export evidence.
• Pallets/returnable containers refundable if returned undamaged before due date (if applicable).

5. Payment & Title Retention

• Sales are on a pro forma basis unless otherwise agreed. Payment due within 7 days of invoice.
• We may suspend/cancel deliveries for late or non‑payment and allocate payments at our discretion.
• Title remains with Direct Cosmetics Ltd until all sums are paid in full. Buyer must store goods separately, keep identifiable and insured, and may resell only as fiduciary agent.
• Credits issued via processor upon dispatch; bank transfer or manual credits valid for 3 months.

6. Delivery, Risk & Insurance

• Delivery times are estimates only. We may deliver early or in instalments.
• Goods supplied ex‑works unless otherwise agreed. Risk passes on dispatch; transit insurance is Buyer’s responsibility.
• Failure to take delivery or provide instructions permits us to store (charging reasonable costs) or resell goods and adjust proceeds accordingly.

7. Returns, Credits & Claims

• No cash refunds. Only replacement or credit at our discretion.
• Damage, shortage, or defect claims must be notified in writing within 3 working days of receipt with evidence. Latent defects must be reported within reasonable time of discovery.
• No returns accepted without written authorisation (RMA). Items must be unopened unless agreed. Buyer bears return cost unless otherwise specified. We are not liable for loss/damage in return transit.
• Credit notes valid 3 months from issue and only redeemable on this website.

8. Product Nature, Images & Authenticity

• Some goods may be Testers, GWPs, Samples or marked Not for Sale. Pricing reflects handling cost. This will be disclosed where known.
• Products are genuine but may originate from global markets. Packaging or labelling may differ from UK retail versions.
• Images are illustrative only; actual presentation may vary. Specs may change without notice.

9. Resale on Third‑Party Marketplaces

• Our products may be purchased for resale by business customers, including resale on third-party marketplaces such as (e.g., Amazon, eBay) at their own compliance risk.
• Marketplace refusal of our documentation or invoices is not a valid reason for refund, return, or cancellation.
• It is solely the responsibility of the buyer to ensure that their business practices, including invoicing and documentation, are compliant with the requirements of any third-party marketplace used for resale.
• Refusal by a third-party marketplace to accept our invoices or documentation is not considered valid grounds for a refund, return, or cancellation of your order with AM Cosmetics Ltd. Our obligations are limited to these Terms.
• All sales remain governed solely by these Terms, and our obligations are limited to those set out herein, regardless of subsequent resale or third-party platform policies.

10. Account Misuse, Scraping & Suspension

• Automated scraping, data mining, or bulk downloading of site data is prohibited. Offending accounts will be deactivated without notice.
• We may refuse service, suspend, or terminate accounts at our discretion where misuse, fraud, or legal concern arises.

11. Warranties, Compliance & Liability

• Unless expressly stated, all warranties are excluded to the fullest extent permitted by law. Warranty passes only where provided by manufacturer.
• Buyer must ensure goods meet destination market regulations; we will use reasonable endeavours to provide information if requested prior to order.
• Total liability limited to price paid for goods in question. No liability for consequential or indirect losses.
• Nothing limits liability for death/personal injury due to negligence or fraud.

12. Force Majeure

We are not liable for failure or delay due to causes beyond reasonable control including natural disasters, war, sanctions, strikes, supply chain failure, or utility outage.

13. Insolvency & Termination

• If Buyer becomes insolvent, enters administration, liquidation, receivership, bankruptcy or arrangement with creditors, we may cancel the contract or suspend deliveries without liability. All sums owed become immediately due.

14. Confidentiality (NDA)

• You may receive non‑public business or pricing information (“Confidential Information”). You agree to keep it confidential, use only for business with us, and not disclose it to third parties. Breach may result in equitable relief and damages.

15. Intellectual Property

• All content, images, text, data and media are copyright © Direct Cosmetics Ltd trading as AM Cosmetics. All rights reserved.
• Reproduction or reuse without written consent is prohibited.

16. Data Protection

• Use of this site is governed by our Privacy Policy and Cookie Policy.
• We apply reasonable safeguards for order and payment data but accept no liability for unauthorised third‑party access unless due to our negligence.

17. General

• Governing law: England & Wales; exclusive jurisdiction of its courts.
• If any clause is invalid, remaining provisions continue in effect.
• No waiver of breach is waiver of subsequent breach.
• Buyer may not assign rights without our consent. We may assign with notice.
• Terms may be updated anytime; the version current at order applies.
• No partnership, agency or joint venture created.
• These Terms and order acceptance form the entire agreement.
